Description of Services: The service will be for the production and completion of a finished web based Multimedia promotional ad, this ad shall consist but not limited to: Clients logo, contact information, clients required compliance obligations, music to accompany production, images supplied by the client, all contained in a three minute video (plus or minus seconds) based on amount of images provided. A continued open communication for adjustments/updates to the completed video for a period of one year from the date of a signed agreement by way of e-mail from Simply Innovative, LLC to the client is extended as a courtesy and is at no additional cost to the client. During the one year time period following the signing of the agreement the client may exercise his option to adjust/update the video up to three (3) separate occasions. These updates are to include but not limited to: New updated pictures, contact information and areas of compliance. The fee of $295.00 shall be considered as fee for service of initial services rendered/professional time and are non refundable. Professional time and services rendered, by means of a credit card payment.
1. ADMINISTRATIVE: Client agrees to provide any and all material requested in order (to include but not limited to clients Compliance disclosures) to produce the finished product that the Client desires to achieve. The Client agrees to comply at its own expense with any specific request for materials.
2. HOLD HARMLESS: Client agrees to indemnify, defend and hold harmless from any liability, expense (including costs and attorney fees), and claims of damage of any nature what so ever, whether known or unknown, which may be asserted or claimed against Simply Innovative, LLC as a result or acts, errors or omissions of Client and or its employees.
3. NOTICES: Any notice or demand to be given hereunder by either party to the other shall be made by e-mail delivery in writing, and shall be deemed communicated after mailing after receipt of “Read Receipt”.
4. VALIDITY: This Client Service Agreement shall be valid and enforceable only after signed by both Client(s) and anauthorized representative of Simply Innovative, LLC.
5. COPYRIGHT: All videos remain the copyright of Simply Innovative, LLC, and the customer relinquishes all image rights of participants and places contained in the video to Simply Innovative, LLC in perpetuity.Simply Innovative, LLC may use the video in its entirety for promotional purposes on its own website. Simply Innovative, LLC reserves the right to re-use any individual scenes, in isolation, in the making of other videos. Simply Innovative, LLC will not re-use any complete video in its original form except for the specific client by whom the film was commissioned and purchased, or on Simply Innovative, LLC website and promotional marketing material.
